Special Terms and Conditions for the Super League Bolt campaign in Frankfurt am Main – for Drivers and Fleet Owners qualifying as Participants

These Special Terms and Conditions are intended to regulate participation in the “Super League Bolt” contest (hereinafter referred to as the “Program” and as further described below) as promoted by Bolt Services DE GmbH, incorporated and registered in Germany, with company number HRB 221695 B whose registered address is at c/o Factory Works GmbH, Rheinsberger Straße 76/77, 10115 Berlin (hereinafter referred to as the “Bolt").

Participation in the Program is subject to these Special Terms and Conditions as well as the General Terms and Conditions for Drivers and Fleet Owners at their service (as applicable) and the Privacy Policy (all available at https://bolt.eu/de/legal/).

By participating in the Program, the Participants (as defined below) agree to these Special Terms and Conditions.

The interpretation of these Special Terms and Conditions rests solely with Bolt, which reserves the right to modify them at any time.

For the time of the Program, these Special Terms and Conditions will be available at https://bolt.eu/en/marketing-campaign-terms/.

The Program is only available in Frankfurt am Main, Germany.

1. Duration

The Program will run between 00:00 am on Monday August 8th 2022 until 23:59 pm on September 4th 2022 (the “Program Period”). The program will run for a total of 4 calendar weeks.

2. Definitions

Within the scope of these Special Terms and Conditions, the following definitions shall apply:

«Program» - the “Super League Bolt” competition held by Bolt, within a limited time and space horizon, with the aim of encouraging Drivers and Fleet Owners to increase their number of finished orders on the Bolt Platform and their acceptance rates.

«Participant» - are described under clause 3.

«Weekly Goals» - are described under clause 4.1.

«Extra Goals» - are described under clause 4.2.

«Points» - the number of points that will be awarded weekly to each Participant in accordance with the Weekly Goals and Extra Goals.

«Weekly Ranking Leaderboard» - table that will assign the position of each Participant according to their performance each week of the Program. The position in the table will take into account the number of points earned in the week.

«Final Ranking Leaderboard» - table that will assign the position of each Participant according to their performance throughout the Program Period. The points will be cumulative week after week, so the position in the table will take into account the number of points earned since the beginning of the Participant’s participation in the Program.

All capitalized terms not otherwise defined herein have the meanings set forth in the General Terms and Conditions for Drivers and Fleets Owners.

3. Participants in the Program

Only Fleets (PHV) who have a valid German Mietwagen license and meet the eligibility requirements described below will automatically be entered into the competition and will be considered a “Participant”: Drivers who are already active on the Bolt Platform and new Drivers who have their Bolt Driver Account activated during the course of the Program Period qualify as Participant; All Participants must have a valid phone number and email registered in their Bolt Driver Account. Participants must comply with all relevant applicable laws in Germany.

Only natural persons with full legal capacity can enroll in the Program.

Bolt reserves the right to refuse and/or revoke the participation in the Program to: Any Driver who do not fulfill the above mentioned conditions; Any Driver who has previously violated or violates during the Program any of the rules set out in these Special Terms and Conditions. Any Driver who violates the ‘General Terms and Conditions for Mietwagen license at their service’ (as applicable). Any Driver whose conduct is contrary to the spirit or intent of the Program.

4. Weekly and Extra Challenges

4.1 The “Weekly Challenge” will be communicated to the Drivers and Fleet Owners individually, by email and SMS weekly during the Program Period and will provide them with information about the indicative targets for that specific week and the respective points attribution. These targets will relate to (among others) the number of finished orders and acceptance rate in the Bolt App. The Participants will be able to earn points if they meet the Weekly Goals.

4.2 The “Extra Challenges” are extra indicative targets that Bolt may set up from time to time during the Program Period, which can be daily, weekly, or have any other frequency as indicated by Bolt. These targets will relate to (among others) the number of finished orders and acceptance rate in the Bolt App. Extra Challenges will give Drivers the opportunity to earn additional points.

5. Attribution of Points

Points will be awarded on a weekly basis and will take into account the achievement of Weekly Goals and Extra Goals from the previous week.

Participants can only earn points on a given week if they provide Transport Services through the Bolt app during that given week.

The weekly and accumulated points will be communicated to the Participants at the beginning of the following week by email.

Points that are deemed by Bolt to have been fraudulently earned will be disregarded. Any suspicion of fraud will result in immediate disqualification from the Program. Bolt will determine fraudulent activities at its sole discretion. Bolt's decision to determine fraudulent activity is final.

6. Winners

Subject to the additional terms in clause 8, the weekly winners will be the top 30% Participants who, at the end of each week, will have the highest number of points for that week (the «Weekly Winners»). Should there be multiple Participants with the same score, the following tie-breaking criteria will be applied, in the following order: number of finished orders and trip acceptance rate.

At the end of the Program, the 10 registered Participants with the highest accumulated score throughout the Program will be considered the final winners (the «Final Winners»). If it is not possible to decide the Final Winners because of equal scores, the following tie-breaking criteria will be applied, in the following order: number of finished trips taken and acceptance rate.

__7. Prizes __

7.1 During the Program Period, Weekly Winners will be awarded prizes, consisting of a reduced service fee for the following week (Tuesday 18:00 h to Tuesday 17:59 h), subject to the conditions set out in clause 8 below (the «Weekly Prizes»).

Top 10% participants: Drive after 40 trips for only 5% service fee instead of 15%. Top 11-30% participants: Ride after 40 rides for only 10% service fee instead of 15%.

Note: The time period for the weekly driver challenge is always from Mon 00:00 - Sun 11:59

The reduced service fee will also be credited to the rider's account as usual in the form of rider bonus.

7.2 At the end of the Program and subject to the maximum amounts set out in clause 8.3 below and to the conditions set out in clause 9 below, the 10 Final Winners will be awarded the following prizes over the period of 18:00 Uhr 6. September 2022 bis zum 23:59 Uhr 30. September 2022 ausgezeichnet:

● 1st place or program winner: participant rides for a reduced service fee of 0% starting with the 1st ride. ● 2nd through 5th place: participant rides for a reduced service fee of 5%; ● 6th through 10th place: participant rides for a reduced service fee of 7%.

The Final Prizes will be paid on the same terms as the Driver’s weekly earnings.

8. Prizes attribution

The Weekly Prizes will be awarded at the end of the following week, via push notification and enrollment in the campaign in the Bolt Driver App awarded directly to weekly winners, subject to the terms and conditions below:

Weekly Prizes will only be awarded to Drivers who qualify as Participants at the time of awarding the prizes.

The Final Winners will be paid to the value of the relevant Final Prizes or equivalent amount by the end of the month following the end of the Program. Final Winners will be contacted by phone or email within 15 days of the end of the Program. In case the winners do not claim the prize within 15 days following contact, Bolt reserves the right to offer the prize to the next eligible Participant in the Final Ranking Leaderboard.

For any of the Weekly Winners or Final Winners who would have average driving hours of more than 10 hours per day, the Weekly Prize and/or Final Prize (as applicable) will not be awarded, and their score will be converted to 0 points.

9. General Terms

The Program will be conducted by Bolt, who will have functions to set up the Weekly Goals and Extra Goals, attribute the points to the Participants and organize the distributions of the Weekly Prizes and Final Prizes.

In addition to Bolt's other reserved rights referred to in these Special Terms and Conditions, Bolt reserves the right not to make public the number of winners' points.

Bolt does not accept any claim regarding the selection of Weekly Winners and Final Winners nor any liability, whether direct, indirect, special, or consequential, arising in any way out of the Program.

10. Personal data and intellectual property rights Bolt will process the Participants’ personal data in accordance with the Privacy Policy for Drivers (available at https://bolt.eu/en/legal/de/privacy-for-drivers/) and with the General Terms and Conditions for Mietwagen Drivers (available at https://assets.ctfassets.net/tk7rwcciwvbq/7gwV7iC9gIqnva3z8cMETF/1ab774c59c18065fe5f44051210b5f04/20211028_-_AGB_-_PBefUnternehmer__Mietwagen_.pdf). All intellectual property rights to which Participants have access through the Program belong to Bolt and Participants may not use, store, distribute, transmit or modify any such intellectual property rights.

11. Changes

Bolt reserves the right to change these Special Terms and Conditions at any time, however, no changes can be applied retroactively.

Bolt further reserves the right to modify, limit or terminate the Program at its sole discretion.

12. Communications

Communications regarding these Special Terms and Conditions must be in writing and addressed to Bolt, at germany@bolt.eu.

13. Applicable law and resolution

13.1 In the event that any of the provisions of these Special Terms and Conditions is considered totally or partially ineffective, this decision will not affect the validity of the remaining part of these Special Terms and Conditions.

13.2 These Special Terms and Conditions shall be governed by and construed in accordance with German laws, and the parties submit to the non-exclusive jurisdiction of the courts of Germany.

13.3 Any dispute that may arise in relation to these Special Terms and Conditions and to the Program, whether concerning its existence, validity, interpretation, performance, breach, termination, or others, shall be settled through negotiations. If any dispute arising out of these Special Terms and Conditions is not capable of being settled by negotiation, the dispute shall then be resolved in the German courts.
