General Terms to Bolt Food delivery with the Fleet Updated: August 2026 These General Terms shall apply to all relations between Bolt and the Fleet in the course of using the Bolt Food Platform, as defined below. - 1. DEFINITIONS
Agency Fee | means the fee payable by the Partner to Bolt per every event of sale of the Partner’s Goods through the Bolt Food Platform for the provision of agency services to the Partner. | Agreed Percentage | is the percentage agreed in the Special Terms that serves as the basis for the calculation of the Agency Fee. | Agreement | means the agreement between Bolt and the Partner which consists of the Special Terms and these General Terms. | Bolt | means Bolt Operations OÜ, registry code 14532901, address Vana-Lõuna 15, Tallinn 10134, Estonia. | Bolt Food Platform | means the delivery platform operated by Bolt as the information society service that (i) enables the Partner to market its Goods with delivery option to Users and enter into Sales Agreements for the sale of Goods to Clients, (ii) enables the Users to place Orders of Goods with the Partner, enter into the Sales Agreements as Clients and arrange the delivery of the Order from a Fleet’s Courier and (iii) enables the Fleet to offer delivery services to the Clients for the delivery of the Orders. | Client | means any User of the Bolt Food Platform that has placed an Order and enters into a Sales Agreement with the Partner and a Delivery Agreement with the Fleet (if applicable). | Confidential Information | means know-how, trade secrets and other information of a confidential nature disclosed by one party to the other party (including, without limitation, all proprietary technical, industrial and commercial information, customers’ and suppliers’ data and techniques in whatever form held) as well as any information regarding: (i) the business; and (ii) the contents of the Agreement. | Delivery Agreement | means the agreement between the Client and the Fleet for the delivery of the Order, concluded through the Bolt Food Platform. | Delivery Fee | means the fee for the delivery services related to an Order, that the Client pays to the Partner under the Delivery Agreement in case the Partner wants to offer its own delivery services to the Client. | Fleet | means any legal entity who has been registered in the Bolt Food Platform as a provider of the delivery service to the Client with respect to Goods ordered through the Bolt Food Platform. | Fleet’s Courier | means a natural person or a legal entity who has concluded an employment or service agreement with the Fleet to provide the delivery service on behalf of and in the name of the Fleet. | Fleet Terms | means the terms and conditions applicable to the relationship between Bolt and the Fleets in relation to the use of the Bolt Food Platform by the Fleets. | General Terms | means these general terms applicable to the Agreement and generally to the legal relationship between Bolt and the Partner in the course of using the Bolt Food Platform. | Goods | means any goods that the Partner sells through the Bolt Food Platform. | Goods Price | means the price (VAT included) that the Client has to pay to the Partner for the ordered Goods. | Marketplace | means the arrangements and functionalities of the Bolt Food Platform that facilitate the use of on-demand delivery services provided by the Fleets. | Marketplace Fees | means the fees that are payable to the Delivery Partners in accordance with Section 7.4. | Minimum Order Value | means the amount which indicates the minimum Goods Price for which an Order can be placed through the Bolt Food Platform. | Opening Hours | means the whole time period of a day during which the Partner accepts Orders and prepares Goods for pick-up by a Fleet’s Courier or directly by a Client (the Opening Hours indicated in the Bolt Food Platform may differ from the opening hours of the Partner’s establishment). | Order | means the order of Goods that the Client has placed with the Partner. | Order Price | means the price that the User has to pay for the purchase and delivery of the Order (if applicable). | Platform Integrity Action | means any temporary or permanent measure taken by Bolt to restrict or suspend access of a Fleet and/or Fleet's Courier to all or part of the Bolt Food Platform, where Bolt has reasonable grounds to believe that fraudulent conduct, identity fraud, account security breach, or other marketplace integrity abuse has occurred or is occurring, as further described in Section 4.3 and Section 9 of these General Terms. |
- 2. LEGAL FRAMEWORK
- 2.1. The Bolt Food Platform enables the Client to order Goods from Partners and arrange the delivery of the Orders to the Client.
- 2.2. For the delivery of the Order, the Client enters into a Delivery Agreement directly with the Fleet. The Delivery Agreement is deemed to be concluded from the moment that the Fleet’s Courier has accepted the Request through the Bolt Food Platform. The Request is sent to a Fleet’s Courier that is the closest to the Partner preparing the Order and who would deliver the Order to the Client the fastest. The Delivery Agreement is concluded through an offer and acceptance model based on the Client’s Order under the local laws. The Fleet and/or the Fleet Couriers are free to decide when and where the Fleet’s Couriers shall provide the delivery services on behalf of and in the name of the Fleet at its own discretion. The Fleet is under no obligation towards Bolt to perform delivery services on the Bolt Food Platform as well as there is no obligation to undertake a minimum amount of delivery services. Furthermore, unless otherwise agreed between the Fleet and the Fleet’s Courier, the Fleet’s Courier is free to accept, reject or ignore any Request on behalf of the Fleet. There are no consequences to the Fleet or Fleet’s Courier if the Request is rejected or ignored.
- 2.3. By operating the Bolt Food Platform, Bolt acts only as a provider of the information society service and is not a party to the Delivery Agreement. Bolt does not in any way direct or control the Fleet and the Fleet’s Couriers in connection with performing the delivery services. The Fleet’s Courier is not employed by Bolt and does not act as Bolt’s subcontractor but provides the delivery service to the Client on behalf of and in the name of the Fleet. Bolt is not in any way involved and does not have any oversight of the agreement between the Fleet and the Fleet’s Courier. The Fleet shall ensure that Fleet’s Couriers act in compliance with these General Terms. The Fleet shall be liable for the relationship between the Fleet and the Courier to be compliant with all applicable regulations, including employment and tax and social security laws, where applicable.
- 2.4. By operating the Bolt Food Platform, Bolt acts as the agent for the Fleets in relation to mediation of Delivery Agreements between the Fleets and the Clients. As the agent Bolt has been authorised by each Fleet as principal to receive certain payments from the Clients and Partners on behalf of and/or for the benefit of the Fleets and allocate the received funds between the Fleets in accordance with these General Terms.
- 2.5. All Fleets acting on the Bolt Food Platform shall be considered traders within the meaning of Directive (EU) 2005/29.
- 2.6. Bolt is entitled to share with the relevant tax authorities any information required under Council Directive (EU) 2021/514 of 22 March 2021 amending Directive 2011/16/EU on administrative cooperation in the field of taxation, including but not limited to any consideration paid or credited to the Fleet in connection with the activities carried out through the Bolt Food Platform. Where the Fleet does not provide the information required under the Directive referred to above, Bolt is entitled to (i) terminate these General Terms, (ii) prevent the Fleet from re-registering on Bolt Food Platform and (iii) withhold the payment under Section 7 to the Fleet as long as the Fleet does not provide the information requested.
- 2.7. The Fleet and the Fleet’s Couriers are free to provide delivery services on other platforms, including Bolt’s competitors, at the same time (i.e. multi-apping). The Fleet and the Fleet’s Couriers are under no exclusivity and/or non-compete obligation towards Bolt.
- 2.8. The Fleet and the Fleet’s Couriers are free to have their own client base. Unless otherwise agreed between the Fleet and the Fleet’s Courier, the Fleet’s Courier can block a specific Client and/or Partner if the Fleet’s Courier no longer wishes to deliver from a specific Client and/or Partner.
- 2.9. The Fleet and the Fleet’s Couriers are free to choose the equipment needed for providing the delivery services, including use of equipment branded by Bolt’s competitors.
- 2.10. Unless otherwise agreed between the Fleet and the Fleet’s Courier, the Fleet’s Courier is free to use substitutes and/or subcontractors while providing the delivery services. In such cases, the substitute and/or the subcontractor shall provide the delivery services on behalf of the Fleet’s Courier, provided that the substitute and/or the subcontractor shall have a personal Fleet’s Courier account.
- 2.11. The Fleet and the Fleet’s Couriers are not subject to any assessment or rating by Bolt and are completely free in how the delivered services are performed.
- 3. MEANS OF DELIVERY
- 3.1. Unless otherwise agreed between the Fleet and the Fleet’s Courier, the Fleet’s Couriers may choose the means of transport for providing the delivery service at their own discretion. The Fleet’s Courier can change the means of transport at any time without contacting Bolt, provided that the means of transport being used is accurately indicated through the relevant functionality in the Bolt platform.
- 3.2. Unless otherwise agreed between the Fleet and the Fleet’s Courier, the Fleet is solely responsible for the Fleet’s Couriers complying with all relevant laws and regulations for operating and using the chosen means of transport (e.g. licenses, insurances, etc) and for ensuring that Fleet Couriers have all equipment and means that are necessary to perform the delivery services.
- 4. PROVISION OF SERVICES IN BOLT FOOD PLATFORM BY FLEET
- 4.1. The Fleet’s Courier may use the Bolt Food Platform on a smartphone or tablet. Bolt is not liable for the effective functioning of the Bolt Food Platform in any device.
- 4.2. The Fleet warrants that during the course of providing the delivery service, the Fleet and the Fleet’s Couriers comply with all relevant laws and regulations applicable to the provision of delivery service to the Client.
- 4.3. The Fleet and/or the Fleet’s Courier may not use the Bolt Food Platform in a manner that is not in line with these General Terms. Without prejudice to the generality of the foregoing, the Fleet shall ensure that the Fleet's Couriers do not engage in any of the following conduct, which Bolt considers to constitute fraudulent activity or a breach of platform integrity:
(a) deliberately manipulating GPS data, using fake GPS location via third-party applications or other means, or otherwise falsifying location, route, pickup, drop-off, or delivery completion status; (b) accepting Orders with no genuine intention of completing the delivery, collecting an Order and failing to deliver it to the Client in full or provoking the Client to cancel the Order for fraudulent purposes; (c) picking up an Order but retaining all or part of the Goods and not delivering the entire Order to the Client; (d) allowing any person other than the registered and authorised Fleet's Courier to access the Bolt Food Platform using that Fleet's Courier's account credentials, including through account renting, account selling, or unauthorised account transfer; (e) creating duplicate, fake, or otherwise improper Fleet's Courier accounts; (f) falsifying documents, records, account data, or other information provided to Bolt or to Clients; (g) making false refund claims or engaging in collusive conduct with Clients, Partners, or other couriers for the purpose of generating fraudulent refunds at Bolt's expense; (h) abusing promotions, incentives, or referral mechanisms, or using them otherwise than for their intended purpose; (i) using modified, rooted, jailbroken, or otherwise manipulated devices or third-party applications to interfere with or circumvent the proper functioning of the Bolt Food Platform or its security systems. - 4.4. Bolt may request Fleet's Couriers providing delivery services on behalf of the Fleet to verify their identity, for the purpose of ensuring that the person accessing the Bolt Food Platform is the same person whose information was provided upon creation of the Fleet's Courier account (hereinafter "Security Check"). Security Checks are a security measure linked exclusively to account integrity and fraud prevention and are not a means of monitoring or evaluating how Fleet's Couriers perform delivery services. Security Checks are triggered only by specific risk-based indicators and are not applied to all Fleet's Couriers or to routine account activity. The Fleet shall ensure that its Fleet's Couriers cooperate with any Security Check required by the Bolt Food Platform. Fleet's Couriers will not be able to provide delivery services until they have successfully completed the required Security Check. In the event that a Fleet's Courier does not successfully complete a Security Check, the Fleet's Courier account associated with the Fleet's account may be suspended or terminated, depending on the circumstances. The framework governing Security Checks, including the circumstances in which they are triggered, shall be communicated to the Fleet and is expressly linked to account security and fraud prevention purposes.
- 4.5. The Fleet may provide the delivery service during all times that it has a Fleet’s Courier signed in the Bolt Food Platform.
- 4.6. The Fleet must obtain and maintain all compulsory insurance required by applicable law, including, for instance, those necessary for operating motor vehicles or other used in the scope of the provision of services.
- 4.7. All fees earned for the deliveries made by the Fleet’s Couriers will be credited onto the bank account of the Fleet, who will distribute the fees as agreed with the Fleet’s Courier. Bolt does not have any information or decision in respect of the payments made by the Fleet to the Fleet’s Courier.
- 4.8. Bolt is entitled to change, modify or discontinue either temporarily or permanently the provision of the information society service through the Bolt Food Platform at any given time, and the Fleet and/or the Fleet’s Courier shall not be entitled to compensation of any kind.
- 4.9. The Fleet undertakes to fully adhere to all applicable laws and regulations, including but not limited to any applicable regulations/laws relating to the Fleet’s Couriers’ health and safety; ensuring that the Fleet’s Couriers are adequately insured during provision of the delivery service rendered under the Delivery Agreement (including in respect of any hardware and/or equipment necessary for providing the delivery services); ensuring full compliance with all applicable employment related laws and regulations, where applicable, regarding parental rights, workplace safety, working time, minimum wage or others; and any tax laws. The Fleet shall ensure that the Fleet’s Couriers shall have sufficient training and maintain all licenses, permits, registrations and approvals required for the lawful provision of service(s) pursuant to Delivery Agreements under the applicable law.
- 4.10. All content uploaded to the Bolt Food Platform is subject to the sole responsibility of the Delivery Partner, and Bolt is under no obligation to actively monitor or review such content under Regulation (EU) 2022/2065 of the European Parliament and of the Council of 19 October 2022 on a Single Market For Digital Services and amending Directive 2000/31/EC (Digital Services Act). Nevertheless, Bolt is entitled to remove any allegedly illegal content after the receipt of a notice and/or order regarding the existence of such content on the Bolt Food Platform. Furthermore, Bolt is entitled to remove such content if detected through Bolt’s own content moderation. Should the Delivery Partner disagree with Bolt's decision on removal of the content, the Delivery Partner is solely responsible for proving that the content is not illegal or incompatible with these General Terms within Bolt’s internal complaint-handling procedure in section 14.2.
- 4.11. If any of the information the Delivery Partner provides to Bolt is deemed to be illegal content under applicable laws or otherwise contravenes these General Terms, Bolt reserves the right to:
- 4.11.1. remove, disable access or demote such content;
- 4.11.2. suspend, terminate or restrict any monetary payment due from Bolt to the Delivery Partner;
- 4.11.3. temporarily suspend the Delivery Partner from using the Bolt Food Platform or terminate these General Terms.
- 4.12. Bolt is entitled to suspend, for a reasonable period of time and after having issued a prior warning, the processing of notices and complaints submitted through the internal complaint-handling system by the Delivery Partners that frequently submit notices or complaints which are manifestly unfounded. While assessing the circumstances for the suspension, Bolt considers the following:
- 4.12.1. the absolute numbers of items of manifestly illegal content or manifestly unfounded notices or complaints, submitted within a month; and
- 4.12.2. the relative proportion of notices and complaints in relation to the total number of items of information provided or notices submitted within a month; and
- 4.12.3. the gravity of the misuse of the notice action mechanisms; and
- 4.12.4. (if applicable) the intention of the complainant for submitting manifestly unfounded complaints.
- 4.13. Bolt is entitled to suspend, for a reasonable period of time and after having issued a prior warning, the provision of information society services to the Delivery Partners that frequently provide manifestly illegal information on the Bolt Food Platform, including false or illegal information upon the onboarding of the Delivery Partner and its authorized persons. While assessing the circumstances for suspension, Bolt considers the following:
- 4.13.1. the gravity of the false information provided; and
- 4.13.2. the nature of the illegal content; and
- 4.13.3. (if applicable) the intention of the Delivery Partner while providing such information.
- 5. PICKUP OF ORDER
- 5.1. The Fleet’s Courier has to pick up the accepted Order at the time and location indicated on the Bolt Food Platform. An accepted Order may be withdrawn before the Order has been picked up by the Fleet Courier..
- 5.2. In case the Goods contain food, the Fleet’s Courier has to place the food, which is previously packaged by the Partner, into a thermo-bag without adding or removing any packaging, in order to guarantee that the Goods are delivered in a safe condition, as to ensure health and food safety.
- 6. DELIVERY OF ORDER
- 6.1. The Fleet’s Courier may choose the route of delivery at its own discretion, provided that the Order is delivered to the address indicated on the Bolt Food Platform as soon as reasonably possible, taking into account the traffic and weather conditions. The Bolt Food Platform calculates a suggested route and an estimated delivery time for the delivery of the Order, which are not binding to the Fleet’s Courier. The Fleet’s Couriers are free to choose the GPS system (whether the GPS shown on the Bolt Food Platform or any other GPS) or not to use any GPS system at all at its own discretion.
- 6.2. The packaging of the Partner may not be opened during the delivery process and the Goods shall be delivered as prepared by the Partner.
- 6.3. The Order shall be handed over to the Client at the Drop-Off Location indicated on the Bolt Food Platform. The Fleet’s Courier can contact the Client throughout the delivery by calling the Client or by using the chat function on the Bolt Food Platform.
- 6.4. In case the Order contains alcohol, tobacco, energy drinks or any other products requiring age verification under the applicable law, the Fleet’s Courier must verify that the Client is old enough to legally purchase the products by checking a valid photo identification of the Client before handing over the products (if applicable). In case the Client is not old enough or does not present a valid photo identification, the Fleet’s Courier may not hand over the products.
- 6.5. In case the delivery of alcohol is restricted during a particular time slot, it is the Fleet Courier’s responsibility to hand over the alcohol to the Client only during the times allowed under applicable laws.
- 7. FEES
- 7.1. For each delivery the Fleet will receive the Actual Delivery Cost, which is calculated by the Bolt Food Platform.
- 7.2. Fleet acts as a contractor for the Client and as part of the Actual Delivery Cost the Fleet shall be entitled to a Fleet Fee payable by the Client for the delivery service rendered under the Delivery Agreement. The Fleet Fee is calculated by the Bolt Food Platform for each delivery.
- 7.3. If an Order is subject to Minimum Order Value, the Client will reimburse to the Fleet the Small Order Fee.
- 7.4. Bolt will procure that the difference between the Actual Delivery Cost and the aggregate amount of the Fleet Fee and (where applicable) the Small Order Fee will be compensated to the Fleet in the form of Marketplace Fees either by (i) paying the Marketplace Fees to the Fleet or (ii) collecting the Marketplace Fees from Partners on behalf of the Fleets and forwarding the Marketplace Fees to Fleets. Bolt may establish a marketing fee payable to the Fleet for the Fleet’s participation in the marketing of Bolt brand. The marketing fee, where applicable, shall be communicated to the Fleet through the bolt Food Platform or by separate written notice.
- 7.5. If the Fleet Fee together with the Small Order Fee (where applicable) exceeds the Actual Delivery Cost, then Bolt is entitled to charge and deduct Agency Fee from the Fleet in the amount by which the sum of the Fleet Fee and (where applicable) the Small Order Fee exceeds the Actual Delivery Cost.
- 7.6. The Fleet and/or the Fleet’s Courier may set a minimum price per kilometre below which the Fleet and/or the Fleet’s Courier does not wish to receive Requests. The Fleet and/or the Fleet’s Courier may change the minimum price at any time.
- 7.7. Bolt, the Client and/or the Partner may cancel the Order. If an Order is cancelled due to the Fleet's or Fleet's Courier's failure to fulfil its obligations under the Delivery Agreement, the Fleet is not entitled to the fees under this Section. Furthermore, if the Fleet's Courier fails to deliver the Order in part or in whole, fails to deliver the correct Order to the Client, or cancels the Order after picking it up, Bolt may deduct the Order Price from the weekly payment due to the Fleet. Such deduction is without prejudice to any other rights or remedies available to Bolt under these General Terms.
- 7.8. Where Bolt issues a refund to a Client in connection with a late delivery, a non-delivery, or an incomplete delivery, and following review Bolt determines that such refund is attributable to the conduct of the Fleet or its Fleet's Courier rather than to circumstances outside the Fleet's reasonable control, Bolt may deduct the amount of the refund issued from the weekly payment due to the Fleet. Any such deduction shall be subject to prior review by Bolt to assess attribution, shall be notified to the Fleet with a statement of the basis for the deduction, and shall be without prejudice to any other rights or remedies available to Bolt under these General Terms.
- 8. PAYMENTS AND INVOICING
- 8.1. Bolt, acting as an agent of the Fleet, shall prepare and issue to the Client the invoice(s) for the Fleet Fee and (where applicable) for the Small Order Fee on behalf of the Fleet and accept the Client’s payment for the invoice(s) on behalf of the Fleet. The payment obligation of the Client arising from the Delivery Agreement is deemed to be fulfilled when the payment is credited onto the bank account of Bolt.
- 8.2. It is the responsibility of the Fleet to ensure Bolt has up-to-date billing information, such as the Fleet’s VAT number, identification and address. In the event of any changes about those details, the Fleet undertakes to communicate these to Bolt within 48 hours. In the absence of such communication, the changes may not be taken into account. For the sake of clarity, Bolt cannot be held liable for any consequences deriving from the issuance of invoices based on information provided by the Fleet. In addition, it is presumed the Fleet accepts the content of such invoices issued by Bolt if there’s no express contestation within 3 working days from the time the invoice is made available. The issuance of invoices in the name and on behalf of the Fleet in no way releases the Fleet from its invoicing obligations and their VAT consequences or any legal, tax and regulatory obligations in force in Portugal. The Fleet remains solely legally liable for the VAT invoiced under the services provided.
- 8.3. Bolt undertakes to forward all Fleet Fee and (where applicable) the Small Order Fee payments from the Client to the Fleet’s bank account that was provided to Bolt by Fleet. No payments shall be made if the amount payable to Fleets for the reference period falls below the minimum payment threshold established by Bolt. In the event that the Fleet has to pay Agency Fee to Bolt under Section 7.4 of these General Terms, Bolt shall prepare and issue a VAT invoice to the Fleet for the Agency Fee (if necessary) and deduct the Agency Fee from the payment made to the Fleet.
- 8.4. Invoicing and payments between Bolt and the Fleet will be made after each reference period. The reference period shall be one week.
- 9. SUSPENSION OF USE AND TERMINATION
- 9.1. If the Fleet has breached any of the obligations set out in these General Terms, any applicable laws or regulations, commits any act against the safety and security of the Clients, disparages Bolt, or causes harm to Bolt’s brand, reputation or business as determined by Bolt in its own sole discretion, or Bolt has reasonable belief of fraudulent acts by the Fleet when using the Bolt Food Platform, Bolt has the right to temporarily suspend the Fleet from using the Bolt Food Platform or terminate these General Terms, without any obligation to compensate the Fleet. In the aforementioned cases Bolt may, in its own discretion, prohibit the Fleet from registering a new Fleet account. The Fleet shall not engage in, or permit any Fleet's Courier to engage in, any fraudulent conduct on the Bolt Food Platform in association with the Fleet's account. Any fraudulent conduct on the Bolt Food Platform caused or permitted by a Fleet's Courier acting on behalf of the Fleet shall be deemed a material breach of these General Terms by the Fleet. In addition, Bolt may take a Platform Integrity Action against the Fleet and/or any Fleet's Courier where Bolt has reasonable grounds to believe that any of the conduct described in Section 4.3 has occurred. Any such Platform Integrity Action shall be taken in accordance with the following principles:
(a) Bolt will inform the Fleet of any Platform Integrity Action taken against the Fleet and/or its Fleet's Couriers, including the reason for such action and the duration of the suspension, to the extent permitted by Bolt's fraud prevention and security obligations, and the Fleet shall have the opportunity to clarify the facts and circumstances; and (b) the Fleet shall have the right to submit observations through the internal complaint-handling mechanism referred to in Section 14. The following conduct shall constitute grounds for immediate suspension or termination without prior notice: (i) unauthorised lending, renting, selling or transfer of a Fleet's Courier account or other fraudulent behaviour; (ii) falsification of documents or account data required for providing delivery services; or (iii) confirmed order theft or collusive refund fraud causing direct financial loss to Bolt. 9.2. In the interest of maintaining a consistent and secure experience across Bolt's platforms, if the Fleet and/or any Fleet's Courier is temporarily suspended on the Bolt Food Platform or these General Terms are terminated, Bolt may, in its own discretion, also prohibit the Fleet and/or the Fleet's Courier from registering a new account on other Bolt platforms. - 9.2. The Fleet has the ordinary right to terminate these General Terms by giving notice at least 15 days in advance. Bolt has the right to terminate these General Terms by giving notice at least 30 days in advance.
- 10. LICENCING, INTELLECTUAL PROPERTY RIGHTS AND DATA PROCESSING
- 10.1. Bolt grants a revocable, non-exclusive, non-transferable, non-sublicensable license to the Fleet for using the Bolt Food Platform for the purpose of providing the delivery service.
- 10.2. All intellectual property rights regarding the software, documentation or information used or developed by or on behalf of Bolt during the provision of the information technology services under these General Terms (including, but not limited to the Bolt Food Platform and Confidential Information), as well as all data and statistics about the deliveries made through the Bolt Food Platform belong to Bolt. The Fleet shall not copy, modify, adapt, reverse-engineer, distribute, decompile or otherwise discover the source code of the Bolt Food Platform or any other software used by Bolt. Bolt shall maintain the data and statistics about the Deliveries for each reference period for a period of one year after the end of said reference period.
- 10.3. The Fleet will not use the Bolt Food Platform for unauthorised or unlawful purposes or impair or seek to impair the proper operation of the Bolt Food Platform.
- 10.4. The Fleet will process the data of the Clients in accordance with Schedule 1 of these General Terms (Data Processing Agreement). The terms and conditions for processing the personal data of the Fleet’s Couriers, who are natural persons, is established in the Privacy Policy.
- 11. CONFIDENTIALITY
- 11.1. During the term of the agency relations and for a period of five years following the expiry or termination of these General Terms, Bolt and the Fleet shall not disclose and shall maintain the confidentiality of all Confidential Information of the other party.
- 11.2. Confidential Information of the other party may be disclosed to third parties only subject to a prior written notice of the other party. Notwithstanding the above, Confidential Information may be disclosed to the party’s attorneys, auditors, accountants, consultants and subcontractors, provided that such persons perform their obligations in connection with the Agreement and are subject to a confidentiality clause.
- 12. ANTI-MONEY LAUNDERING RULES
- 12.1. The Fleet has to be in compliance with the requirements of any applicable anti money laundering laws and regulations and may not use the Bolt Food Platform for money laundering purposes. The Fleet warrants that the Fleet and the Fleet Couriers are not subject to any international sanctions, anti-terrorism or similar laws, decrees, ordinances, orders, demands, requests, rules or requirements.
- 12.2. Bolt has the right to conduct reviews of the Fleet’s compliance with anti-money laundering rules and/or suspend the Fleet from using the Bolt Food Platform without prior notice, for the purpose of detecting fraud or any other violation thereof. Bolt shall also be at liberty to report any suspected fraudulent activity to the appropriate law enforcement authority.
- 12.3. The Fleet has to notify Bolt immediately of any circumstances that may refer to a violation of this Section 12.
- 13. LIABILITY
- 13.1. The Fleet is solely liable for the performance of the Delivery Agreement and for any claims presented under the Delivery Agreement. Bolt is not liable for any failure or non-conformity of performing the Delivery Agreement and assumes no liability for any traffic violations or accidents sustained during the performance of the Delivery Agreement.
- 13.2. The Fleet shall conform and where relevant, shall ensure that the Fleet’s Couriers conform to the requirements of these General Terms and agree to act in accordance with the conditions and obligations thereof and any further agreements with Bolt. The Fleet shall remain liable for any infringement deriving from the conduct of the Fleet or any Fleet’s Couriers.
- 13.3. Bolt is liable for damages or loss of profit that the Fleet may bear only in cases of intentional or grossly negligent breaches of these General Terms by Bolt.
- 13.4. The Fleet shall indemnify, defend and hold Bolt harmless from and against any and all claims, suits, actions or administrative proceedings, demands, losses, damages, costs, and expenses of whatsoever nature, including attorney’s fees and expenses in respect of or resulting from the provision of the delivery services by the Fleet under these General Terms.
- 13.5. The Fleet undertakes to comply with all tax obligations relating to the performance of the Fleet’s obligations under this General Terms and/or the provision of Delivery Services through Bolt Food Platform. The Fleet assumes full responsibility and agree to indemnify Bolt and/or its affiliates for all tax expenses, duties, taxes, claims and penalties it incurs arising from the Fleet’s failure to comply with the Fleet’s obligations, including, but not limited to, failure to pay income tax, social security contributions, national insurance or any payroll tax, where applicable, and any other liability, deduction, contribution, assessment or claim arising out of or made in connection with the performance of the Delivery Services and/or the use of the Bolt Food Platform by the Fleet. The Fleet further agrees to indemnify Bolt for all reasonable costs, expenses and any penalty, fine or interest incurred or payable by Bolt in connection with or as a result of such liability, deduction, contribution, assessment or claim.
- 13.6. The Fleet assumes full responsibility and shall indemnify Bolt for and in relation to any liability arising out of any employment related claim or any claim based on employee status (including reasonable costs and expenses) brought by any Fleet’s Courier against Bolt arising out of or in connection with the provision of the Delivery Services and/or the use of the Bolt Food Platform by the Fleet’s Courier.
- 13.7. If the Client files a claim due to the breach of the Delivery Agreement, the Fleet shall release Bolt from all liability regarding the claim. In case the Fleet's Courier fails to deliver the Order in part or in whole, fails to deliver the correct Order to the Client, or cancels the Order after picking it up, Bolt may deduct the Order Price from the weekly payment between Bolt and the Fleet.
- 13.8. The Fleet acknowledges and shall ensure that its Fleet's Couriers acknowledge that using rooted, jailbroken, or otherwise modified devices, or using fake devices or third-party applications that attempt to circumvent or interfere with the proper functioning of the Bolt Food Platform or its GPS and security systems, is strictly prohibited. Bolt shall not be liable for any losses in connection with the use of such devices or applications, and Bolt shall not have any obligation to support their use. The use of such devices or applications may constitute fraudulent conduct within the meaning of Section 4.3 and may result in a Platform Integrity Action.
- 14. MISCELLANEOUS
- 14.1. Additional requirements and safeguards provided in Regulation (EU) 2019/1150 (Regulation) shall apply where the termination of these General Terms or blocking of the access to the Bolt Food Platform affects the rights of the Fleet using the Bolt Food Platform for the provision of delivery services in the member state of the European Union or European Economic Area (Member State).
- 14.2. The Fleet referred to in Section 14.1 (Business User Operating in the Member State) has the right to challenge the termination of the General Terms, blocking, and other alleged non-compliance of Bolt with the Regulation, including any Platform Integrity Action taken pursuant to Section 9, in accordance with the Internal Complaint-Handling System Rules for Business Users of Bolt available on https://bolt.eu/en/legal/.
- 14.3. Where versions of the General Terms exist in any other language, the English version shall prevail.
- 14.4. Bolt reserves the right to update the General Terms anytime, by notifying the Fleet either through the Bolt Food Platform or the e-mail address provided to Bolt at least 15 days in advance.
- 14.5. The Fleet may not assign any of the rights or obligations under these General Terms either in whole or in part.
- 14.6. The General Terms and any rights or claims arising out of or in connection with the Delivery Agreement shall be governed by the substantive law of Portugal. If the respective dispute resulting from these General Terms, or the Delivery Agreement could not be settled by negotiations, then the dispute will be finally solved in Lisbon court, Portugal.

- 2. ENQUADRAMENTO LEGAL
- 2.1. A Plataforma “Bolt Food” permite que o Cliente peça Produtos aos Parceiros e que estes organizem a entrega dos pedidos ao Cliente.
- 2.2. Para a entrega do Pedido, o Cliente celebra um Contrato de Entrega diretamente com a Frota. O Contrato de Entrega é considerado celebrado a partir do momento em que o estafeta da Frota aceitou o Pedido através da Plataforma “Bolt Food”. O Pedido é enviado a um estafeta da Frota que está mais próximo do Parceiro que prepara o Pedido e que entregaria o Pedido ao Cliente mais rapidamente. O Contrato de Entrega é concluído através de um modelo de oferta e aceitação baseado no pedido do Cliente de acordo com as leis locais. A Frota e/ou os estafetas da Frota são livres de decidir quando e onde os estafetas da Frota prestarão os serviços de entrega em nome e por conta da Frota à sua própria descrição. A Frota não tem qualquer obrigação para com a Bolt para efetuar serviços de entrega na Plataforma “Bolt Food”, bem como não existe qualquer obrigação de efetuar uma quantidade mínima de serviços de entrega. Além disso, salvo acordo em contrário entre a Frota e o estafeta da Frota, o estafeta da Frota é livre de aceitar, rejeitar ou ignorar qualquer Pedido em nome da Frota. Não há consequências para a Frota ou para o estafeta da Frota se o Pedido for rejeitado ou ignorado.
- 2.3. Ao operar a Plataforma “Bolt Food”, a Bolt atua apenas como prestadora de serviços da sociedade de informação e não é parte do contrato de entrega. A Bolt não dirige nem controla de forma alguma a Frota e os estafetas da Frota em relação à execução dos serviços de entrega. O estafeta da Frota não é funcionário da Bolt e não atua como subcontratado da Bolt, antes fornece o serviço de entrega ao Cliente em benefício e em nome da Frota. A Bolt não está de modo algum envolvida e não tem qualquer supervisão do acordo entre a Frota e o estafeta da Frota. A Frota deve assegurar que as ações dos estafetas estão em conformidade com estas Condições Gerais. A Frota será responsável pela relação entre a Frota e o estafeta para estar em conformidade com todos os regulamentos aplicáveis, incluindo legislação laboral e fiscal e de segurança social, quando aplicável.
- 2.4. Ao operar a Plataforma “Bolt Food”, a Bolt atua como agente das Frotas em relação à mediação dos Contratos de Entrega entre as Frotas e os Clientes. Como agente, a Bolt foi autorizada por cada Frota a receber certos pagamentos dos Clientes e Parceiros em nome e / ou em benefício das Frotas e alocar os pagamentos recebidos pelas Frotas de acordo com estas Condições Gerais.
- 2.5. Todas as Frotas que atuam na Plataforma “Bolt Food” serão considerados comerciantes na aceção da Diretiva Regulamentar (UE) 2005/29.
- 2.6. A Bolt tem o direito de partilhar com as autoridades fiscais competentes qualquer informação exigida pela Diretiva 2021/514 do Conselho, de 22 de março de 2021, que altera a Diretiva 2011/16/UE relativa à cooperação administrativa no domínio da fiscalidade, incluindo, mas não se limitando a qualquer retribuição paga ou creditada à Frota relacionada com as atividades realizadas através da Plataforma “Bolt Food”. Se a Frota não fornecer as informações exigidas pela Diretiva acima referida, a Bolt tem o direito de rescindir estas Condições Gerais, (ii) impedir a Frota de se registar novamente na Plataforma “Bolt Food” e (iii) reter o pagamento à Frota ao abrigo da Secção 7, enquanto a Frota não fornecer as informações solicitadas.
- 2.7. A Frota e os estafetas da Frota são livres de prestar serviços de entrega noutras plataformas, incluindo os concorrentes da Bolt, ao mesmo tempo (ou seja, multi-apping). A Frota e os estafetas da Frota não têm qualquer obrigação de exclusividade e/ou de não concorrência em relação à Bolt.
- 2.8. A Frota e os estafetas da Frota são livres de ter a sua própria base de clientes. Salvo acordo em contrário entre a Frota e o estafeta da Frota, o estafeta da Frota pode bloquear um Cliente e/ou Parceiro específico, se o estafeta da Frota já não desejar entregar de um Cliente e/ou Parceiro específico.
- 2.9. A Frota e os estafetas da Frota são livres de escolher o equipamento necessário para fornecer os serviços de entrega, incluindo a utilização de equipamento com a marca dos concorrentes da Bolt.
- 2.10. Salvo acordo em contrário entre a Frota e o estafeta da Frota, o estafeta da Frota é livre de utilizar substitutos e/ou subcontratados enquanto fornece os serviços de entrega. Nesses casos, o substituto e/ou o subcontratado deverá fornecer os serviços de entrega em nome do estafeta da Frota, desde que o substituto e/ou o subcontratado tenha uma conta pessoal de estafeta da Frota.
- 2.11. A Frota e os estafetas da Frota não estão sujeitos a qualquer avaliação ou classificação pela Bolt e são completamente gratuitos na forma como os serviços entregues são executados.
- 3. MEIOS DE ENTREGA
- 3.1. Salvo acordo em contrário entre a Frota e o estafeta da Frota, os estafetas da Frota podem escolher os meios de transporte para fornecer o serviço de entrega a seu próprio critério. O estafeta da Frota pode mudar o meio de transporte em qualquer altura sem contactar a Bolt, desde que o meio de transporte utilizado seja corretamente indicado através da funcionalidade correspondente da Plataforma Bolt.
- 3.2. Salvo acordo em contrário entre a Frota e o estafeta da Frota, a Frota é o único responsável por o estafeta da Frota cumprir todas as leis e regulamentos relevantes para operar e usar o meio de transporte escolhido (por exemplo, licenças, seguros, etc.) e por garantir que os estafetas da Frota disponham de todo o equipamento e meios necessários para realizar os serviços de entrega.
- 4. PRESTAÇÃO DE SERVIÇOS NA PLATAFORMA “BOLT FOOD” PELA FROTA
- 4.1. O estafeta da Frota pode usar a Plataforma “Bolt Food” no smartphone ou tablet. A Bolt não se responsabiliza pelo funcionamento eficaz da Plataforma “Bolt Food” em qualquer dispositivo.
- 4.2. A Frota garante que, durante a prestação do serviço de entrega, a Frota e os estafetas da Frota cumprem todas as leis e regulamentos aplicáveis à prestação do serviço de entrega ao Cliente.
- 4.3. A Frota e/ou o Estafeta da Frota não podem utilizar a Plataforma Bolt Food de forma contrária aos presentes Termos Gerais. Sem prejuízo do caráter não taxativo das disposições seguintes, a Frota deve assegurar que os seus Estafetas não pratiquem qualquer uma das seguintes condutas, que a Bolt considera constituírem atividade fraudulenta ou uma violação da integridade da plataforma:
(a) manipular deliberadamente os dados de GPS, utilizar uma localização GPS falsa através de aplicações de terceiros ou por quaisquer outros meios, ou, de qualquer outra forma, falsificar a localização, o percurso, o estado da recolha, da entrega ao destinatário ou da conclusão da entrega; (b) aceitar Pedidos sem a intenção genuína de concluir a entrega, recolher um Pedido e não o entregar integralmente ao Cliente, ou induzir o Cliente a cancelar o Pedido com fins fraudulentos; (c) recolher um Pedido, mas reter a totalidade ou parte das Mercadorias e não entregar a totalidade do Pedido ao Cliente; (d) permitir que qualquer pessoa que não seja o Estafeta da Frota registado e autorizado aceda à Plataforma Bolt Food utilizando as credenciais da conta desse Estafeta da Frota, incluindo através do aluguer de contas, da venda de contas ou da transferência não autorizada de contas; (e) criar contas de Estafeta da Frota duplicadas, falsas ou, de qualquer outra forma, irregulares; (f) falsificar documentos, registos, dados da conta ou quaisquer outras informações fornecidas à Bolt ou aos Clientes; (g) apresentar pedidos de reembolso falsos ou adotar práticas em conluio com Clientes, Parceiros ou outros estafetas com o objetivo de obter reembolsos fraudulentos às custas da Bolt; (h) utilizar promoções, incentivos ou mecanismos de referenciação de forma abusiva ou para fins diferentes daqueles a que se destinam; (i) utilizar dispositivos modificados, com acesso privilegiado (rooted), desbloqueados (jailbroken) ou de qualquer outra forma manipulados, ou aplicações de terceiros, para interferir com ou contornar o correto funcionamento da Plataforma Bolt Food ou dos seus sistemas de segurança. - 4.4. A Bolt pode solicitar aos Estafetas da Frota que prestam serviços de entrega em nome da Frota que verifiquem a sua identidade, com o objetivo de assegurar que a pessoa que acede à Plataforma Bolt Food é a mesma cujos dados foram fornecidos no momento da criação da conta de Estafeta da Frota (doravante, a "Verificação de Segurança"). A Verificação de Segurança constitui uma medida de segurança exclusivamente relacionada com a integridade da conta e a prevenção de fraude, não constituindo um meio de monitorização ou de avaliação da forma como os Estafetas da Frota prestam os serviços de entrega. As Verificações de Segurança são desencadeadas apenas por indicadores específicos baseados no risco e não são aplicadas a todos os Estafetas da Frota nem à atividade corrente das respetivas contas. A Frota deve assegurar que os seus Estafetas cooperam com qualquer Verificação de Segurança exigida pela Plataforma Bolt Food. Os Estafetas da Frota não poderão prestar serviços de entrega enquanto não concluírem com sucesso a Verificação de Segurança exigida. Caso um Estafeta da Frota não conclua com sucesso uma Verificação de Segurança, a conta de Estafeta da Frota associada à conta da Frota poderá ser suspensa ou encerrada, consoante as circunstâncias. O regime aplicável às Verificações de Segurança, incluindo as circunstâncias em que estas são desencadeadas, será comunicado à Frota e destina-se expressamente a garantir a segurança das contas e a prevenir a fraude.
- 4.5. A Frota pode fornecer o serviço de entrega durante todos os momentos em que o estafeta da Frota esteja online na Plataforma “Bolt Food”.
- 4.6. A Frota deve obter e manter todos os seguros obrigatórios exigidos pela legislação aplicável, incluindo, por exemplo, aqueles necessários para a operação de veículos motorizados ou outros utilizados no escopo da prestação de serviços.
- 4.7. Todas as taxas ganhas pelas entregas feitas pelos estafetas e/ou contratados da Frota serão creditadas na conta bancária da Frota, que distribuirá as taxas conforme acordado com o estafeta da Frota. A Bolt não tem nenhuma informação ou decisão em relação aos pagamentos feitos pela Frota ao Estafeta da Frota.
- 4.8. A Bolt tem o direito de alterar, modificar ou descontinuar temporária ou permanentemente a prestação do serviço da sociedade da informação por meio da Plataforma “Bolt Food” a qualquer momento e a Frota e/ou o estafeta da Frota não terão direito a qualquer tipo de compensação.
- 4.9. A Frota compromete-se a aderir integralmente a todas as leis e regulamentos aplicáveis, incluindo mas não se limitando a quaisquer regulamentos/leis aplicáveis relativos à saúde e segurança dos estafetas da Frota; assegurando que os estafetas da Frota estejam adequadamente segurados durante a prestação do serviço de entrega prestado ao abrigo do Contrato de Entrega (incluindo em relação a qualquer hardware e/ou equipamento necessário para a prestação dos serviços de entrega); assegurando o cumprimento integral de todas as leis e regulamentos aplicáveis relacionados com o emprego, quando aplicável, no que diz respeito aos direitos parentais, segurança no local de trabalho, tempo de trabalho, salário mínimo ou outros; e quaisquer leis fiscais. A Frota deverá assegurar que os estafetas da Frota terão formação suficiente e manterão todas as licenças, autorizações, registos e aprovações necessárias para a prestação legal do(s) serviço(s) nos termos dos Acordos de Entrega nos termos da lei aplicável.
- 4.10. Todo o conteúdo carregado na Plataforma Bolt Food é da exclusiva responsabilidade do Parceiro de Entrega, e a Bolt não tem obrigação de monitorizar ou rever ativamente esse conteúdo ao abrigo do Regulamento (UE) 2022/2065 do Parlamento Europeu e do Conselho, de 19 de outubro de 2022, relativo a um mercado único de serviços digitais e que altera a Diretiva 2000/31/CE (Lei dos Serviços Digitais). No entanto, a Bolt tem o direito de remover qualquer conteúdo alegadamente ilegal após a receção de um aviso e/ou ordem relativa à existência de tal conteúdo na plataforma Bolt Food. Além disso, a Bolt tem o direito de remover esse conteúdo se for detetado através da moderação de conteúdo da própria Bolt. Se o Parceiro de Entrega não concordar com a decisão da Bolt sobre a remoção do conteúdo, o Parceiro de Entrega é o único responsável por provar que o conteúdo não é ilegal ou incompatível com estes Termos Gerais no âmbito do procedimento interno de tratamento de reclamações da Bolt na secção 14.2.
- 4.11. Se alguma das informações que o Parceiro de Entrega fornece à Bolt for considerada conteúdo ilegal de acordo com as leis aplicáveis ou de outra forma violar estes Termos Gerais, a Bolt reserva-se o direito de:
- 4.11.1. remover, desativar o acesso ou despromover esse conteúdo;
- 4.11.2. suspender, terminar ou restringir qualquer pagamento monetário devido pela Bolt ao Parceiro de Entrega;
- 4.11.3. suspender temporariamente o Parceiro de Entrega da utilização da Plataforma Bolt Food ou rescindir estas Condições Gerais.
- 4.12. A Bolt tem o direito de suspender, por um período de tempo razoável e após ter emitido um aviso prévio, o processamento de avisos e reclamações apresentadas através do sistema interno de tratamento de reclamações pelos Parceiros de Entrega que frequentemente apresentam avisos ou reclamações que são manifestamente infundados. Ao avaliar as circunstâncias da suspensão, a Bolt considera o seguinte:
- 4.12.1. o número absoluto de elementos de conteúdo manifestamente ilegal ou de avisos ou queixas manifestamente infundados, apresentados no prazo de um mês; e
- 4.12.2. a proporção relativa de notificações e queixas em relação ao número total de elementos de informação fornecidos ou de notificações apresentadas num mês; e
- 4.12.3. a gravidade da utilização abusiva dos mecanismos de ação de aviso; e
- 4.12.4. (se aplicável) a intenção do queixoso de apresentar queixas manifestamente infundadas.
- 4.13. A Bolt tem o direito de suspender, durante um período de tempo razoável e após ter emitido um aviso prévio, a prestação de serviços da sociedade da informação aos Parceiros de Entrega que forneçam frequentemente informações manifestamente ilegais na Plataforma Bolt Food, incluindo informações falsas ou ilegais aquando da integração do Parceiro de Entrega e das suas pessoas autorizadas. Ao avaliar as circunstâncias para a suspensão, a Bolt considera o seguinte:
- 4.13.1. a gravidade das informações falsas prestadas; e
- 4.13.2. a natureza do conteúdo ilegal; e
- 4.14. (se aplicável) a intenção do parceiro de entrega ao fornecer essas informações.
- 5. LEVANTAMENTO DO PEDIDO
- 5.1. O estafeta da Frota deve levantar o pedido aceite no horário e local indicados na Plataforma “Bolt Food”. Um pedido pode ser cancelado antes que este tenha sido recolhido pelo estafeta da frota.
- 5.2. Caso a encomenda contenha alimentos, o estafeta da Frota deve colocar o alimento, previamente embalado pelo Parceiro, numa bolsa térmica sem adicionar ou retirar qualquer embalagem, de forma a garantir que as Mercadorias são entregues em condições de segurança, para assegurar a saúde e segurança alimentar.
- 6. ENTREGA DO PEDIDO
- 6.1. O estafeta da Frota poderá escolher a rota de entrega a seu critério, desde que o Pedido seja entregue no endereço indicado na Plataforma “Bolt Food” o mais rápido possível, levando em consideração o trânsito e as condições climáticas. A Plataforma “Bolt Food” calcula uma rota sugerida e um tempo estimado de entrega para a entrega do Pedido, que não vinculam o estafeta da Frota. Os estafetas da Frota são livres de escolher o sistema GPS (seja o GPS mostrado na plataforma Bolt Food ou qualquer outro GPS) ou não utilizar qualquer sistema GPS à sua própria descrição.
- 6.2. A embalagem do Parceiro não pode ser aberta durante o processo de entrega e as Mercadorias devem ser entregues conforme preparadas pelo Parceiro.
- 6.3. O pedido deve ser entregue ao Cliente no local de entrega indicado na Plataforma “Bolt Food”. O estafeta da Frota pode contactar o Cliente ao longo da entrega ligando para o Cliente ou utilizando a função de chat na Plataforma “Bolt Food”).
- 6.4. Caso o pedido contenha álcool, tabaco, bebidas energéticas ou quaisquer outros produtos que exijam verificação de idade nos termos da lei aplicável, o estafeta da Frota deve verificar se o Cliente tem idade mínima legalmente exigida para comprar legalmente os produtos, solicitando uma identificação com foto válida do Cliente antes de entregar os produtos (se aplicável). Caso o Cliente não tenha a idade mínima exigida ou não apresente um documento de identidade válido com foto, o Estafeta da Frota não pode entregar os produtos.
- 6.5. No caso de a entrega de bebidas alcoólicas ser restringida durante um determinado período de tempo, é da responsabilidade do Estafeta da Frota entregar as bebidas alcoólicas ao Cliente apenas durante os períodos permitidos pela legislação aplicável.
- 7. TAXAS
- 7.1. Para cada entrega, a Frota receberá o Custo Real de Entrega, que é calculado pela Plataforma “Bolt Food”. A Frota reconhece que o Custo Real da Entrega e/ou a Taxa de Entrega não constituem um salário nem uma retribuição.
- 7.2. A Frota atua como um prestador de serviços para o Cliente e, como parte do Custo de Entrega Real, a Frota terá direito a uma Taxa de Entrega, a pagar pelo Cliente, pelo serviço de entrega prestado nos termos do Contrato de Entrega. A taxa de entrega é calculada pela Plataforma “Bolt Food” para cada entrega. A taxa de entrega é calculada pela Plataforma Bolt Food relativamente a cada entrega e pode ser composta por diferentes tipos de remuneração (incluindo taxas de serviço).
- 7.3. Se um pedido estiver abaixo do valor mínimo do pedido (tal como definido supra), o Cliente reembolsará a Frota, com pagamento da Taxa para Pedidos de Pequeno Valor.
- 7.4. A Bolt providenciará no sentido de que a diferença entre o Custo Real de Entrega e o valor agregado da Taxa de Entrega e (quando aplicável) a Taxa para Pedidos de Pequeno Valor seja paga à Frota na forma de Taxas de Mercado (i) pagando as Taxas de Mercado à Frota ou (ii) recolhendo as Taxas de Mercado dos Parceiros em nome das Frotas, transferindo-as para estes. A Bolt pode estabelecer uma taxa de marketing a pagar à Frota pela participação desta na promoção da marca Bolt. A taxa de marketing, quando aplicável, será comunicada à Frota através da Plataforma Bolt Food ou por comunicação escrita autónoma.
- 7.5. Se a Taxa de Entrega, somada com a Taxa para Pedidos de Pequeno Valor (quando aplicável), exceder o custo real de entrega, a Bolt tem o direito de cobrar ou deduzir uma taxa de agência à Frota no valor da diferença entre o custo real de entrega e a soma da Taxa de entrega e (quando aplicável) a Taxa para Pedidos de Pequeno Valor.
- 7.6. A Frota e/ou o estafeta da Frota podem estabelecer um preço mínimo por quilómetro abaixo do qual a Frota e/ou o estafeta da Frota não desejam receber Pedidos. A Frota e/ou o estafeta da Frota pode alterar o preço mínimo em qualquer altura.
- 7.7. A Bolt, o Cliente e/ou o Parceiro podem cancelar o Pedido. Se um Pedido for cancelado em consequência do incumprimento, pela Frota ou pelo Estafeta da Frota, das obrigações que lhes incumbem ao abrigo do Contrato de Entrega, a Frota não terá direito às taxas previstas na presente Cláusula. Além disso, se o Estafeta da Frota não entregar o Pedido, no todo ou em parte, não entregar ao Cliente o Pedido correto ou cancelar o Pedido após a respetiva recolha, a Bolt poderá deduzir o Preço do Pedido ao pagamento semanal devido à Frota. Essa dedução não prejudica quaisquer outros direitos ou meios de tutela de que a Bolt disponha ao abrigo dos presentes Termos Gerais.
- 7.8. Sempre que a Bolt proceda a um reembolso a um Cliente em consequência de um atraso na entrega, da não entrega ou da entrega incompleta de um Pedido, e, após análise, determine que esse reembolso é imputável à conduta da Frota ou do respetivo Estafeta da Frota, e não a circunstâncias que escapem ao controlo razoável da Frota, a Bolt poderá deduzir o montante do reembolso concedido ao pagamento semanal devido à Frota. Qualquer dedução desta natureza estará sujeita a uma análise prévia pela Bolt para efeitos de determinação da imputabilidade, será comunicada à Frota, acompanhada da fundamentação da dedução, e não prejudica quaisquer outros direitos ou meios de tutela de que a Bolt disponha ao abrigo dos presentes Termos Gerais.
- 8. PAGAMENTOS E FATURAÇÃO
- 8.1. A Bolt, agindo como um agente da Frota, deve preparar e emitir para o Cliente a (s) fatura (s) para a Taxa de Entrega e (quando aplicável) para a Taxa de Pedido de Pequeno Valor em nome da Frota e aceitar o pagamento do Cliente pela fatura (s) em nome da Frota. A obrigação de pagamento do Cliente decorrente do Contrato de Entrega é considerada cumprida quando o pagamento é creditado na conta bancária da Bolt.
- 8.2. É responsabilidade da Frota garantir que a Bolt tem informações de faturação atualizadas, como o número de identificação fiscal da Frota, identificação e endereço. Em caso de alteração desses dados, a Frota compromete-se a comunicá-los à Bolt dentro de 48 horas. Na ausência de tal comunicação, as alterações não podem ser consideradas. Por uma questão de clareza, a Bolt não pode ser responsabilizada por quaisquer consequências decorrentes da emissão de faturas com base em informações fornecidas pela Frota. Além disso, presume-se que a Frota aceite o conteúdo dessas faturas emitidas pela Bolt se não houver objeção expressa dentro de 3 dias úteis a partir do momento em que a fatura é disponibilizada. A emissão de faturas em nome e por conta da Frota de forma alguma isenta a Frota das suas obrigações de faturação e das respectivas consequências do IVA ou quaisquer obrigações legais, fiscais e regulatórias em vigor em Portugal. A Frota é a única responsável pelo IVA faturado em relação aos serviços prestados.
- 8.3. A Bolt compromete-se a encaminhar todas as Taxas de Entrega, e (quando aplicável) os pagamentos da Taxa de Pedido de Pequeno Valor, do Cliente para a conta bancária da Frota que foi fornecida à Bolt pela Frota. Nenhum pagamento será feito se o valor a pagar às Frotas no período de referência ficar abaixo do limite mínimo de pagamento estabelecido pela Bolt. Caso a Frota tenha que pagar uma Taxa de Agência à Bolt de acordo com a Seção 7.4 destas Condições Gerais, a Bolt deverá preparar e emitir uma fatura à Frota pela Taxa de Agência (se necessário) e deduzir a Taxa de Agência do pagamento feito à Frota.
- 8.4. A faturação e os pagamentos entre a Bolt e a Frota serão feitos após cada período de referência. O período de referência será de uma semana.
- 9. SUSPENSÃO DE USO E RESCISÃO
- 9.1. Se a Frota violar qualquer uma das obrigações estabelecidas nestas Condições Gerais, quaisquer leis ou regulamentos aplicáveis, comete qualquer ato contra a segurança e proteção dos Clientes, desacreditar Bolt, ou causar danos à marca, reputação ou negócios da Bolt, conforme determinado pela Bolt a seu critério exclusivo, ou a Bolt tem a convicção razoável de atos fraudulentos por parte da Frota ao utilizar a Plataforma “Bolt Food”, a Bolt tem o direito de suspender temporariamente a Frota de utilizar a Plataforma “Bolt Food” ou rescindir as presentes Condições Gerais, sem qualquer obrigação de compensação à Frota. Nos casos acima mencionados, a Bolt pode, a seu critério, proibir a Frota de registar uma nova conta de Frota. A Frota não pode praticar, nem permitir que qualquer Estafeta da Frota pratique, qualquer conduta fraudulenta na Plataforma Bolt Food associada à conta da Frota. Qualquer conduta fraudulenta na Plataforma Bolt Food praticada ou permitida por um Estafeta da Frota que atue em nome da Frota será considerada um incumprimento grave dos presentes Termos Gerais por parte da Frota. Além disso, a Bolt poderá adotar uma Medida de Integridade da Plataforma relativamente à Frota e/ou a qualquer Estafeta da Frota quando disponha de motivos razoáveis para considerar que ocorreu qualquer uma das condutas descritas na Cláusula 4.3. Qualquer Medida de Integridade da Plataforma será adotada em conformidade com os seguintes princípios:
(a) a Bolt informará a Frota de qualquer Medida de Integridade da Plataforma adotada relativamente à Frota e/ou aos respetivos Estafetas da Frota, incluindo o motivo da adoção dessa medida e a duração da suspensão, na medida em que tal seja permitido pelas obrigações da Bolt em matéria de prevenção da fraude e de segurança, devendo ser dada à Frota a oportunidade de esclarecer os factos e as circunstâncias; e (b) a Frota terá o direito de apresentar observações através do mecanismo interno de tratamento de reclamações referido na Cláusula 14. Constituem fundamento para a suspensão ou o encerramento imediatos, sem aviso prévio: (i) o empréstimo, aluguer, venda ou transferência não autorizados de uma conta de Estafeta da Frota, ou qualquer outro comportamento fraudulento; (ii) a falsificação de documentos ou de dados da conta exigidos para a prestação dos serviços de entrega; ou (iii) o furto confirmado de um Pedido ou a prática comprovada de fraude em conluio, relativamente a pedidos de reembolso, que cause prejuízo financeiro direto à Bolt. - 9.2. No interesse de assegurar uma experiência consistente e segura em todas as plataformas da Bolt, caso a Frota e/ou qualquer Estafeta da Frota seja temporariamente suspenso da Plataforma Bolt Food ou os presentes Termos Gerais sejam resolvidos, a Bolt poderá, ao seu exclusivo critério, impedir a Frota e/ou o Estafeta da Frota de registar uma nova conta noutras plataformas da Bolt.
- 9.3. A Frota tem o direito de rescindir estas Condições Gerais mediante notificação com pelo menos 15 dias de antecedência. A Bolt tem o direito de rescindir as presentes Condições Gerais mediante notificação com pelo menos 30 dias de antecedência.
- 10. LICENCIAMENTO, DIREITOS DE PROPRIEDADE INTELECTUAL E TRATAMENTO DE DADOS
- 10.1. A Bolt concede uma licença revogável, não exclusiva, intransferível e não sublicenciável à Frota para usar a Plataforma “Bolt Food” com a finalidade de fornecer o serviço de entrega.
- 10.2. Todos os direitos de propriedade intelectual relativos ao software, documentação ou informação usada ou desenvolvida por ou em nome da Bolt durante o fornecimento dos serviços de tecnologia da informação sob estas Condições Gerais (incluindo, mas não se limitando à Plataforma “Bolt Food” e Informações Confidenciais), bem como todos os dados e estatísticas sobre as entregas feitas por meio da Plataforma “Bolt Food” pertencem à Bolt. A Frota não deve copiar, modificar, adaptar, fazer engenharia reversa, distribuir, descompilar ou de outra forma descobrir o código-fonte da Plataforma “Bolt Food” ou qualquer outro software usado pela Bolt. A Bolt deve manter os dados e estatísticas sobre as Entregas para cada período de referência por um período de um ano após o final do referido período de referência.
- 10.3. A Frota não usará a Plataforma “Bolt Food” para fins não autorizados ou ilegais, nem prejudicará ou tentará prejudicar o funcionamento adequado da Plataforma “Bolt Food”.
- 10.4. A Frota tratará os dados pessoais dos Clientes de acordo com o Anexo 1 destas Condições Gerais (Contrato de Tratamento de Dados). Os termos e condições para o tratamento dos dados pessoais dos estafetas da Frota, que são pessoas singulares, estão estabelecidos na Política de Privacidade.
- 11. CONFIDENCIALIDADE
- 11.1. Durante a vigência das relações de intermediação e por um período de cinco anos após o término ou rescisão destas Condições Gerais, a Bolt e aa Frota não divulgarão e manterão a confidencialidade de todas as Informações Confidenciais da outra parte.
- 11.2. As informações confidenciais da outra parte podem ser divulgadas a terceiros apenas mediante notificação prévia por escrito da outra parte. Não obstante o acima exposto, as Informações Confidenciais podem ser divulgadas aos advogados, auditores, contabilistas, consultores e subcontratados da parte, desde que essas pessoas cumpram as suas obrigações em relação ao Acordo e estejam sujeitas a uma cláusula de confidencialidade.
- 12. REGRAS CONTRA O BRANQUEAMENTO DE CAPITAIS
- 12.1. A Frota deve cumprir todos os requisitos de quaisquer leis e regulamentos aplicáveis de combate ao branqueamento de capitais e não pode usar a Plataforma “Bolt Food” para fins de branqueamento de capitais. A Frota garante a Frota e os estafetas da Frota não estão sujeitos/as a quaisquer sanções internacionais, antiterrorismo ou leis similares, decretos, portarias, ordens, demandas, solicitações, regras ou requisitos semelhantes.
- 12.2. A Bolt tem o direito de supervisionar testes de conformidade da Frota com as regras de combate ao branqueamento de capitais e / ou suspender a Frota de usar a Plataforma “Bolt Food” sem aviso prévio, com a finalidade de detetar fraudes ou qualquer outra violação. A Bolt reserva-se ainda o direito de comunicar qualquer suspeita de atividade fraudulenta às autoridades competentes.
- 12.3. A Frota deve notificar a Bolt imediatamente sobre quaisquer circunstâncias que possam estar relacionadas com a uma violação desta Seção 12.
- 13. RESPONSABILIDADE
- 13.1. A Frota é exclusivamente responsável pela execução do Contrato de Entrega e por quaisquer reclamações apresentadas no âmbito do Contrato de Entrega. A Bolt não se responsabiliza por qualquer falha ou não conformidade na execução do Contrato de Entrega e não assume responsabilidade por quaisquer violações das regras de trânsito ou acidentes ocorridos durante a execução do Contrato de Entrega.
- 13.2. A Frota deverá estar em conformidade e, se for o caso, garantir que os estafetas da Frota estejam em conformidade com os requisitos destas Condições Gerais e concordar em agir de acordo com as condições e obrigações dos mesmos e quaisquer outros acordos com a Bolt. A Frota será solidariamente responsável por qualquer infração decorrente da conduta da Frota ou de qualquer estafeta da Frota.
- 13.3. A Bolt é responsável por danos ou lucros cessantes em que a Frota possa incorrer apenas em casos de violação intencional ou grosseiramente negligente destas Condições Gerais pela Bolt.
- 13.4. A Frota deverá indemnizar, defender e isentar a Bolt de qualquer reclamação, processo, ação ou processo administrativo, demandas, perdas, danos, custas e despesas de qualquer natureza, incluindo honorários de advogado e despesas relacionadas ou resultantes da prestação de serviços de entrega pela Frota sob estas Condições Gerais.
- 13.5. A Frota compromete-se a cumprir todas as obrigações fiscais relacionadas com o cumprimento das obrigações da Frota ao abrigo das presentes Condições Gerais e/ou a prestação de Serviços de Entrega através da Plataforma “Bolt Food”. A Frota assume total responsabilidade e concorda em indemnizar a Bolt e/ou as suas filiais por todas as despesas fiscais, direitos, impostos, reclamações e penalidades em que incorra devido ao não cumprimento das obrigações da Frota, incluindo, mas não se limitando a, não pagamento do imposto sobre o rendimento, contribuições para a segurança social, seguro nacional ou qualquer imposto sobre a folha de pagamentos, quando aplicável, e qualquer outra responsabilidade, dedução, contribuição, avaliação ou reclamação decorrente ou feita em relação ao desempenho dos Serviços de Entrega e/ou à utilização da Plataforma “Bolt Food” pela Frota. A Frota concorda ainda em indemnizar Bolt por todos os custos razoáveis, despesas e qualquer penalidade, multa ou juros incorridos ou a pagar por Bolt em relação a ou como resultado de tal responsabilidade, dedução, contribuição, avaliação ou reclamação.
- 13.6. A Frota assume total responsabilidade e deverá indemnizar a Bolt por e em relação a qualquer responsabilidade resultante de qualquer reclamação relacionada com o emprego ou qualquer reclamação baseada no estatuto de funcionário (incluindo custos e despesas razoáveis) apresentada por qualquer estafeta da Frota contra a Bolt resultante de ou em ligação com a prestação dos Serviços de Entrega e/ou a utilização da Plataforma “Bolt Food” pelo estafeta da Frota.
- 13.7. Se o Cliente apresentar uma reclamação devido à violação do Contrato de Entrega, a Frota isentará a Bolt de toda a responsabilidade em relação à reclamação. Caso o Estafeta da Frota não entregue o Pedido, no todo ou em parte, não entregue ao Cliente o Pedido correto ou cancele o Pedido após a respetiva recolha, a Bolt poderá deduzir o Preço do Pedido ao pagamento semanal devido pela Bolt à Frota.
- 13.8. A Frota reconhece e deve assegurar que os respetivos Estafetas da Frota reconhecem que é estritamente proibida a utilização de dispositivos com acesso privilegiado (rooted), desbloqueados (jailbroken) ou de qualquer outra forma modificados, bem como de dispositivos falsificados ou de aplicações de terceiros que procurem contornar ou interferir com o correto funcionamento da Plataforma Bolt Food ou dos respetivos sistemas de GPS e de segurança. A Bolt não será responsável por quaisquer perdas ou danos decorrentes da utilização desses dispositivos ou aplicações, nem terá qualquer obrigação de prestar suporte relativamente à sua utilização. A utilização desses dispositivos ou aplicações pode constituir conduta fraudulenta na aceção da Cláusula 4.3 e dar origem à adoção de uma Medida de Integridade da Plataforma.
- 14. DIVERSOS
- 14.1. Os requisitos e salvaguardas adicionais previstos no Regulamento (UE) 2019/1150 (Regulamento) aplicam-se quando a cessação das presentes Condições Gerais ou o bloqueio do acesso à Plataforma “Bolt Food” afetar os direitos da Frota que se encontra a utilizar a Plataforma “Bolt Food” para a prestação de serviços de entrega no estado-membro da União Europeia ou no Espaço Económico Europeu (Estado Membro).
- 14.2. A Frota referida na Seção 14.1 (Utilizador empresarial a operar num Estado membro) tem o direito de contestar a rescisão das Condições Gerais, bloqueio e outras alegadas não conformidades da Bolt com o Regulamento, incluindo qualquer Medida de Integridade da Plataforma aplicada nos termos da Cláusula 9, de acordo com as regras do sistema de Tratamento Interno de Reclamações para utilizadores comerciais da “Bolt”, disponíveis em https://bolt.eu/en/legal/.
- 14.3. Quando existirem versões das Condições Gerais em qualquer outro idioma, a versão em inglês prevalecerá.
- 14.4. A Bolt reserva-se o direito de atualizar as Condições Gerais a qualquer momento, notificando a Frota através da Plataforma “Bolt Food” ou do endereço de e-mail fornecido à Bolt com pelo menos 15 dias de antecedência.
- 14.5. A Frota não pode ceder nenhum dos direitos ou obrigações ao abrigo destas Condições Gerais, no todo ou em parte.
- 14.6. As Condições Gerais e quaisquer direitos ou reclamações decorrentes ou relacionadas com o Contrato de Entrega serão regidos pela lei substantiva de Portugal. Se o respetivo litígio resultante das presentes Condições Gerais ou do Contrato de Entrega não puder ser resolvido extrajudicialmente, através de negociações, o litígio será definitivamente resolvido no Tribunal de Lisboa, Portugal.
