Terms and Conditions for the Contest “BOLT CRUISE ANTHEM CHALLENGE”
1. CONTEST ORGANIZER
1.1 The organizer of the Contest “Bolt Cruise Anthem Challenge” (the “Contest”) is: Bolt Technology OÜ incorporated and registered in Estonia with company number 12417834 whose registered address is at Vana-Louna tn 15, 10134, Harju, Tallinn, Estonia, (“Bolt”), as operator of the Bolt digital platform for the intermediation of alternative transport (the “Bolt App”), in partnership with Taxify Technology Nigeria Limited incorporated and registered in Nigeria with company number RC 1408088 whose registered office is at 9 Professor Gabriel Olusanya Street, Lekki, Lagos, Nigeria (“Bolt Nigeria”), hereinafter collectively referred to as the “Organizer”. 1.2 For general questions arising out of these Contest terms and/or related to this Contest, please contact Organizer at email@example.com.
2.1. The Contest will run from Friday 22nd November, 2019 (the “Opening Date”) to 12:00 (noon) on Thursday, the 12th of December, 2019 (the “Closing Date”). The period from the Opening Date until the Closing Date (hereinafter referred to as the “Contest Period”).
3. HOW TO PARTICIPATE
3.1. A user with a Bolt App passenger account (“Passenger”), who complies with Bolt’s General Terms for Passengers (”Passengers Terms”) and the terms of the Contest (jointly referred to as the “Contest T&Cs”) including required eligibility in section 4, may enter this Contest in accordance with Clause 3.2. Entry into the Contest will be deemed as acceptance of all of these terms and conditions. 3.2. To obtain an entry to the Contest, the Passengers must write the second verse to the Ditweni track indicated by Bolt and post a video on Instagram of themselves rapping or singing their second verse tagging @bolt_nigeria, and using the hashtags #BoltCruiseAnthem and #BoltCruiseDecember (hereinafter referred to as “Entry” and multiple entries as the “Entries”).Passengers may submit more than one Entry through submitting additional posts. At the Organizer’s option, in consideration of Entry into the Contest, the Passengers shall irrevocably transfer, convey and assign to the Organizer (or such party that the Organizer may direct) all right, title and interest in and to the Entry/Entries and all intellectual property rights therein (excluding moral rights). The Passenger further agrees to waive all moral rights relating thereto and agree to execute all documents and perform all acts deemed necessary by the Organizer to apply for, register, perfect and record such transfer and assignment and/or waivers. In these terms and conditions “intellectual property rights” means any and all tangible and intangible: (i) copyrights and other rights associated with works of authorship throughout the world, including but not limited to copyrights, neighbouring rights, moral rights, mask works and all derivative works thereof; (ii) trademark and trade name rights and similar rights; (iii) trade secret rights; (iv) patents, designs, algorithms, utility models and other industrial property rights and all improvements thereto; (v) all other intellectual and industrial property rights (of every kind and nature throughout the world and however designated) whether arising by operation of law, contract, license or otherwise; and (vi) all registrations, applications, renewals, extensions, continuations, divisions, or reissues thereof now or hereafter in force (including any rights in any of the foregoing). 3.3. No purchase is necessary to participate in this Contest. 3.4. By submitting an Entry, you hereby warrant and represent that the Entry meets the following Entry requirements: 3.4.1 The Entry is not sexually explicit or suggestive, violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, and does not contain nudity; 3.4.2 The Entry does not promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; 3.4.3 The Entry is not obscene or offensive, in poor taste and does not endorse any form of hate or hate group; 3.4.4 The Entry does not defame, misrepresent or contain disparaging remarks about the Organizer or its services, or any third parties or their services; 3.4.5 The Entry does not contain trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind, and does not contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses; 3.4.6 The Passenger is the owner and copyright holder of the Entry, the Entry does not contain copyrighted materials owned by others (including but not limited to photographs, sculptures, paintings and musical material), materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, other than the Passenger, without written permission and the Entry does not and will not violate any law or infringe the rights of any third party. Where the Passenger breaches this clause, the Passenger agrees to indemnify and keep the Organizer fully indemnified from and against any claim, loss or liability including reasonable legal fees arising out of the breach of this clause. 3.4.8 The Entry does not depict, and is not itself in violation of any law or regulation. 3.4.9 The Entry complies with the terms and conditions of Instagram. 3.5 Organizer will not accept responsibility for Contest entries that are lost, damaged or delayed in transit, regardless of cause, including, for example, as a result of any equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind. Any incorrect details submitted may render the corresponding entry invalid.
4.1. Passengers must meet the eligibility requirements of these Contest T&C’s. Failure to meet the eligibility requirements will result in an entry being invalid and/or forfeiture of the Prize. 4.2. The Contest is only open to individuals resident/domiciled in Nigeria, who are in possession of valid identity documentation, over the age of 18, and are a registered user of the Bolt App, except the following who are not eligible: 4.2.1. directors, representatives and/or employees of the Organizer or of any other company part of the Bolt group; 4.2.2. directors, representatives and/or employees of any company that has contractual relations with the Organizer that may influence directly or indirectly the Contest. 4.2.3. married partners or relatives up to the second degree of those listed in letters 4.2.1 and 4.2.2 above. 4.3. Organizer will not accept Contest entries that are: 4.3.1. automatically generated by computer; or 4.3.2. completed by third parties or in bulk. 4.4. Organizer will require Winners to provide proof of eligibility and proof of registration as a passenger through the Bolt App. 4.5. Any Passengers which are in breach of any applicable Bolt terms and conditions will be disqualified. Please see https://bolt.eu/en/legal. Organizer further reserves all rights to disqualify Passenger if conduct is deemed by Organizer to be contrary to the spirit or intention of the Contest.
5. WINNERS AND PRIZES
5.1. There will be one (1) winner (the “Winner”). The Prize will consist of the following: USD 1,000 to further your entertainment career (“Prize”) and in addition an opportunity to perform at the Mayor of Lagos taking place in Lagos 13th to 15th December, 2019 and to have an artist spotlight on Boomplay. After the Winner has proven eligibility, they will collaborate with the Organizer to confirm how to use the Prize towards the advancement of their entertainment career. 5.2. Organizer will have the final say on from which supplier(s) to purchase the Prize (individually referred to as the “Supplier” and jointly as the “Suppliers”). The Suppliers which must be a registered Nigerian company. The maximum number of different Suppliers used for the Prize shall be 3 (three). The purchase(s) will be made in Nigerian naira, converted at the rate of $1 : NGN 363. Any money not used in the purchase transaction for the Prize will become void and is not eligible to be carried over or paid out. The purchase transaction may not exceed the maximum value of the Prize after tax. The Winner may not opt to pay the difference for a potential transaction valued higher than the Prize. 5.3. Organizer will have the final say on what can be purchased as the Prize. 5.4. The Winners will be selected after 12:00 (noon) on the 12th of December, 2019 by a judge nominated at the sole discretion of Organizer (“Judge”). The Judge will select Winner at the Judges sole discretion. 5.5. The decision of the Judge is final and no correspondence or discussion will be entered into. 5.6. Organizer will announce the selected Winners after 12:00 (noon) on the 12th of December, 2019 through a post on Bolt Nigeria’s Instagram page, which will include the Winners Instagram handle used to submit the winning Entry. 5.7. Winners must direct message Bolt Nigeria on Instagram to verify their eligibility through providing their telephone number or email address used at the time of registration or as updated in the Bolt App. It is the Winner's responsibility to ensure that their details are up to date. If the Winner does contact Bolt Nigeria through Instagram direct message within two (2) days of being announced as a Winner, then the Prize will be cancelled, and a new Winner chosen by the Judge. 5.8. The Prize may not be claimed by a third party on the Winner’s behalf. 5.9. The prize is non-transferable and may not be exchanged for cash. 5.10. Organizer will not grant any compensation in money or other benefits to that Passenger declared Winner, but who does not meet the eligibility conditions or does not comply with the terms and conditions for granting/claiming the Prize.
6. DATA PROTECTION AND PUBLICITY
7.1. Nothing in these Contest T&Cs limits, excludes or modifies or purports to limit, exclude and liability to the extent that it cannot be legally limited or excluded by law, for death or personal injury arising out of its negligence, and for losses suffered as a result of a party's fraud or fraudulent statement. 7.2. Subject to the limitations above, Organizer excludes from these Contest T&Cs: (a) all conditions, warranties and terms implied by statute, general law or custom; (b) all liability whether arising in tort (including without limitation negligence), contract or otherwise, for any personal injury or any other loss or damage (including without limitation loss of opportunity or loss of profits); (c) all liability whether direct, indirect, special or consequential, arising in any way out of the Contest, including, without limitation, the following: (i) any technical difficulties or equipment malfunction (whether or not under the Organizer’s control); (ii) any theft, unauthorised access or third party interference; (iii) any entry or claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by the Organizer) due to any reason beyond the reasonable control of the Bolt; (iv) any tax implications; (v) any variation in reward value to that stated in these Contest T&Cs; (vi) any tax liability incurred by a successful claimant or Passenger; and/or (vii) the Prize or use of the Prize.
